1. Definitions
In these Terms of Service, the following definitions apply:
- "Platform" means the EverythingApartments website, applications, and related services operated by EverythingApartments Ltd.
- "Company" or "Property Manager" means a registered business entity using the Platform to manage and list properties for short-term or long-term rental.
- "Guest" means an individual who makes reservations or bookings through the Platform.
- "User" means any person accessing or using the Platform, including Companies and Guests.
- "Reservation" means a confirmed booking for accommodation at a listed property.
- "Services" means the property management and marketplace services provided through the Platform.
- "NGN" or "Naira" means the Nigerian Naira, the official currency of the Federal Republic of Nigeria.
2. Account Registration
2.1 Eligibility
To create an account and use our Platform, you must:
- Be at least 18 years of age
- For Companies: Be a registered business entity in Nigeria or have legal authority to operate
- Provide accurate, complete, and current registration information
- Have the legal capacity to enter into binding agreements
2.2 Account Security
You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized access or security breach
3. Payment Terms
3.1 Currency
All prices and payments on the Platform are denominated in Nigerian Naira (NGN). No other currencies are accepted.
3.2 Company Subscription Plans
Companies may use the Platform under the following pricing structures:
- Free Tier: Unlimited access to core property management features with platform default branding.
- Pay-as-you-go: NGN 1,000 per confirmed reservation, billed monthly. Includes custom branding features (custom domain, color schemes, branded emails).
3.3 Billing Cycle
For pay-as-you-go Companies:
- Invoices are generated on the 1st of each month for the previous month's reservations
- Payment is due within 14 days of invoice generation
- Payment may be made via Paystack, bank transfer, or other approved payment methods
3.4 Late Payment and Grace Period
If payment is not received by the due date:
- A grace period of 14 days will be provided
- During the grace period, you will receive payment reminders
- After the grace period expires, your account may be suspended
- Suspended accounts will have custom branding features disabled until payment is received
3.5 No Hidden Fees
In compliance with the Federal Competition and Consumer Protection Act (FCCPA) 2018, all fees are clearly disclosed. The Platform does not charge hidden or undisclosed fees.
4. Nigerian Consumer Protection
This Platform operates in compliance with Nigerian consumer protection laws, including:
4.1 Federal Competition and Consumer Protection Act (FCCPA) 2018
- All pricing is transparent with no hidden charges
- You have the right to receive an invoice for all transactions
- Product and service descriptions are accurate and not misleading
- Dispute resolution mechanisms are available
4.2 Dispute Resolution
If you have a complaint or dispute:
- Contact our support team at support@everythingonlineapartments.com
- We will acknowledge your complaint within 48 hours
- We will investigate and respond within 14 business days
- If unresolved, you may escalate to the Federal Competition and Consumer Protection Commission (FCCPC)
5. Data Protection (NDPR Compliance)
In compliance with the Nigeria Data Protection Regulation (NDPR) 2019:
- We collect and process personal data only for legitimate purposes
- Your data is stored securely with appropriate technical safeguards
- You have the right to access, correct, and request deletion of your data
- Data retention periods are clearly defined in our Privacy Policy
- Cross-border data transfers comply with NDPR requirements

6. Intellectual Property
6.1 Platform Ownership
The Platform, including its design, features, logos, trademarks, and software, is the exclusive property of EverythingApartments Ltd. Users may not reproduce, modify, or create derivative works without express written permission.
6.2 User Content
Companies retain ownership of their property listings, photos, and content uploaded to the Platform. By uploading content, you grant us a non-exclusive license to display and promote your listings on the Platform and related marketing channels.
7. Service Level
- We aim to maintain Platform availability of 99% uptime
- Scheduled maintenance will be notified at least 24 hours in advance where possible
- Emergency maintenance may occur without prior notice to address security or critical issues
- We do not guarantee uninterrupted access and are not liable for downtime beyond our reasonable control
8. Limitation of Liability
- Our maximum liability is capped at the total fees paid by you in the preceding 12 months
- We are not liable for indirect, incidental, special, consequential, or punitive damages
- We are not liable for loss of profits, data, or business opportunities
- We are not responsible for the actions, quality, or legality of properties listed by Companies
- We are not a party to agreements between Companies and Guests
8.1 Force Majeure
We are not liable for delays or failures caused by events beyond our reasonable control, including but not limited to: natural disasters, war, terrorism, government actions, power failures, internet outages, or pandemics.
9. Termination
9.1 Termination by User
Companies may cancel their account at any time. Upon cancellation:
- Outstanding invoices must be paid
- You will have 30 days to export your data
- Active reservations must be honored or properly cancelled
9.2 Termination by Platform
We may suspend or terminate accounts for:
- Non-payment of invoices after grace period expiration
- Violation of these Terms of Service
- Fraudulent or illegal activity
- Actions that harm other users or the Platform's reputation
9.3 Data Export Rights
Upon termination, you have 30 days to request export of your data. After this period, your data may be permanently deleted in accordance with our data retention policies.
10. Governing Law and Jurisdiction
10.1 Applicable Law
These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.
10.2 Jurisdiction
The courts of Lagos State, Nigeria shall have exclusive jurisdiction over any disputes arising from these Terms or your use of the Platform.
10.3 Arbitration
For disputes involving amounts exceeding NGN 1,000,000 (One Million Naira), parties agree to first attempt resolution through arbitration under the rules of the Lagos Court of Arbitration (LCA). The arbitration shall be conducted in English in Lagos, Nigeria.
11. Modifications to Terms
- We may modify these Terms at any time
- Material changes will be notified 30 days in advance via email and Platform notification
- Continued use of the Platform after the notice period constitutes acceptance of the modified Terms
- If you do not agree to modified Terms, you may terminate your account before they take effect
